  • "Advertiser" refers to our clients who use our Services to run advertisements.

  • "Publisher" refers to the vendors we work with to display advertisements.

3. Eligibility

By using our Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using our Services on behalf of a company or organization, you represent and warrant that you have the authority to bind that entity to these Terms.

4. Use of Services

  • Account Creation: To access certain features of our Services, you may be required to create an account. You agree to provide accurate, complete, and updated information during registration and to keep your login credentials secure.

  • Prohibited Activities: You agree not to:

  1.   Use the Services for any unlawful purpose or in violation of any applicable laws or regulations.

  2.   Interfere with or disrupt the integrity or performance of the Services.

  3.   Attempt to gain unauthorized access to the Services or related systems or networks.

  4.   Use any automated system, including bots, to access the Services.

5. Intellectual Property

  • Ownership: All content, trademarks, and intellectual property rights associated with the Services are owned by Adverve or its licensors. You agree not to use, reproduce, or distribute any content without prior written permission from Adverve.

  • License to Use: Adverve grants you a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose, subject to these Terms.

6. User-Generated Content

  • Responsibility: If you submit or post content to our Services, you retain ownership of that content but grant Adverve a worldwide, non-exclusive, royalty-free, and transferable license to use, reproduce, distribute, and display that content in connection with the Services.

  • Prohibited Content: You agree not to submit or post content that is unlawful, defamatory, infringing, or otherwise objectionable.

7. Payment Terms

  • Fees: Advertisers agree to pay all applicable fees in accordance with the payment terms presented at the time of purchase.

  • Billing: Fees are billed in advance and are non-refundable, except as required by law or specified in the specific terms for the paid service.

  • - Taxes: Advertisers are responsible for paying any applicable taxes in connection with the use of the Services.

8. Relationship with Publishers

  • Publisher Responsibilities: Publishers agree to display advertisements provided by Adverve in accordance with the terms outlined in their agreements.

  • Compliance: Publishers must comply with all applicable laws and regulations, as well as industry standards, in the display of advertisements.

9. Termination

  • Termination by You: You may terminate your account at any time by following the instructions in your account settings. Upon termination, you must cease all use of the Services.

  • Termination by Adverve: We may suspend or terminate your access to the Services at any time, with or without cause, and without notice.

10. Disclaimers and Limitation of Liability

  • No Warranties: The Services are provided "as is" and "as available" without any warranties of any kind, express or implied. Adverve does not guarantee that the Services will be uninterrupted, secure, or error-free.

  • Limitation of Liability: To the fullest extent permitted by law, Adverve and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the Services; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from the Services; (iv) any bugs, viruses, or the like that may be transmitted to or through our Services by any third party; (v) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Services.

11. Indemnification

You agree to indemnify, defend, and hold harmless Adverve, its affiliates, and their respective officers, directors, employees, agents, and representatives from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with (i) your access to or use of the Services; (ii) your violation of these Terms; or (iii) your infringement of any intellectual property or other right of any third party.

12. Modifications to the Services and Terms

Adverve reserves the right to modify or discontinue the Services (or any part thereof) at any time, with or without notice. We may also revise these Terms from time to time. If we make changes to these Terms, we will notify you by posting the updated Terms on our website or through other communications. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.

13. Governing Law

These Terms and your use of the Services will be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law principles.

14. Dispute Resolution

  • Arbitration: Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration conducted in the State of New York, United States, in accordance with the rules of the American Arbitration Association.

  • Class Action Waiver: You agree that any arbitration shall be conducted on an individual basis and not in a class, collective, or representative action.

15. Miscellaneous

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Adverve regarding the use of the Services.

  • Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

  • Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.
